Licenses Terms

These License Terms govern your use of LLM Patches software patches (the "Patches") provided by IPOXCap AI, Inc. ("Licensor"). By downloading, installing, or using any Patch, you ("Licensee") agree to be bound by these terms.

1. License Grant:

Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the Patches subject to the terms of the chosen license type:

1.1. Regular License:

• Permitted Use: Licensee may use the Patch for internal use within a single organization or entity. This includes use in development, testing, and production environments.
• Restrictions:
• Licensee may not redistribute, resell, sublicense, or otherwise make the Patch available to third parties.
• Licensee may not use the Patch to provide services to third parties (e.g., as part of a SaaS offering) without an Extended License.
• The Regular License is limited to [Number] deployments/installations within the Licensee's organization.
• Support: Includes standard support as defined on the product page.

1.2. Extended License:

• Permitted Use: Licensee may use the Patch for internal use within a single organization or entity, and may also:
• Integrate the Patch into products or services offered to third parties (e.g., SaaS, embedded systems).
• Distribute the Patch as part of a larger bundled offering.
• Restrictions:
• Licensee may not resell the Patch as a standalone product.
• Licensee must ensure that end-users of their products/services are bound by terms that protect the Licensor's intellectual property.
• The Extended License is limited to 20 deployments/installations within the Licensee's organization. For deployments exceeding this limit or for distribution within products that will be deployed more than 20 times, please contact us for a custom license.
• Support: Includes extended support as defined on the product page, which may include priority response times or dedicated support channels.

2. Intellectual Property:

The Patches, including all associated documentation, code, and other materials, are the exclusive property of Licensor and are protected by copyright, trade secret, and other intellectual property laws. Licensee acknowledges that it obtains only a limited license to use the Patches and does not acquire any ownership rights.

3. Disclaimer of Warranty:

THE PATCHES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR1 A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT2 THAT THE PATCHES WILL BE ERROR-FREE OR THAT THEY WILL MEET LICENSEE'S REQUIREMENTS.

4. Limitation of Liability:

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES,3 INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OR INABILITY TO USE4 THE PATCHES, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY TO LICENSEE FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE APPLICABLE PATCH.

5. Termination:

This license will terminate automatically if Licensee breaches any of these terms. Upon termination, Licensee must immediately cease all use of the Patches and destroy all copies in its possession.

6. Governing Law:

These terms shall be governed by and construed in accordance with the laws of Delaware, US, without regard to its conflict of5 law principles.

7. Entire Agreement:

These terms constitute the entire agreement between Licensor and Licensee concerning the Patches and supersede all prior or contemporaneous communications and proposals, whether oral or written.
