Premium Terms

These Premium Terms (the "Premium Terms") supplement the standard Terms of Use and License Terms and govern the use of premium features, services, and support (collectively, the "Premium Services") offered by IPOXCap AI, Inc. ("we," "us," or "our") in connection with the LLM Patches platform (the "Platform"). By subscribing to and using the Premium Services, you ("you" or "Subscriber") agree to be bound by these Premium Terms, the Terms of Use, and the License Terms, which are incorporated herein by reference. In the event of a conflict between these Premium Terms and the Terms of Use or License Terms, these Premium Terms shall govern with respect to the Premium Services.

1. Premium Services:

The Premium Services may include, but are not limited to:

  • Increased Download Limits: Higher daily or monthly download quotas for LLM Patches as specified in the chosen Premium subscription plan.
  • Priority Support: Faster response times to support inquiries, dedicated support channels (e.g., phone, live chat), and potentially proactive support.
  • Access to Beta Features: Early access to new Patches, features, and platform updates before general release.
  • Dedicated Account Manager (Potentially): For higher-tier Premium plans, a dedicated account manager to provide personalized assistance and support.
  • Extended Support Hours: Support availability outside of standard business hours.
  • Training Resources (Potentially): Access to exclusive training materials, webinars, or documentation.

2. Subscription and Payment:

  • Subscription Term: Premium subscriptions are typically offered on a monthly or annual basis.
  • Payment: Payment for Premium Services is due in advance and will be automatically renewed at the end of each subscription term unless cancelled by the Subscriber.
  • Payment Method: Subscribers must provide a valid payment method (e.g., credit card, debit card) to subscribe to Premium Services.
  • Price Changes: We reserve the right to change the pricing of Premium Services. We will provide reasonable notice of any price changes.
  • Cancellation: Subscribers may cancel their Premium subscription at any time. Cancellation will take effect at the end of the current billing cycle. No refunds will be provided1 for partial subscription terms, except as expressly provided in our Refund Policy.

3. Use of Premium Services:

Use of the Premium Services is subject to the License Terms associated with the downloaded Patches. Subscribers must comply with all applicable laws and regulations when using the Premium Services.

4. Termination:

We may terminate a Premium subscription immediately if the Subscriber breaches these Premium Terms, the Terms of Use, or the License Terms. Upon termination, the Subscriber will lose access to the Premium Services.

5. Disclaimer of Warranties:

WHILE WE STRIVE TO PROVIDE HIGH-QUALITY PREMIUM SERVICES, THE PREMIUM SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability:

TO THE FULLEST EXTENT PERMITTED BY LAW, IPOXCAP AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE5 PREMIUM SERVICES.

7. Changes to these Premium Terms:

We may update these Premium Terms from time to time. We will notify Subscribers of any material changes by posting the updated Premium Terms on the Platform or by sending an email notification.
